- Advised Oversea-Chinese Banking Corporation Limited ("OCBC") in the proposed renounceable partially underwritten rights issue of ordinary shares with detachable warrants by Bukit Sembawang Estates Limited, to raise gross proceeds of up to S$347.5 million. OCBC is the manager and underwriter for the rights issue. Bukit Sembawang Estates is a property developer which is listed on the Main Board of the Singapore Exchange.
- Advised United Envirotech Ltd in a proposed subscription by Novena Holdings Limited ('NHL') and Oei Hong Leong Foundation (Pte) Ltd ('OELF') of an aggregate of 66,266,000 new ordinary shares in the capital of United Envirotech Ltd ('Company') at an issue price of S$0.21 for each new share. This is pursuant to the subscription agreements entered into between the Company and NHL and OHLF, respectively, on 26 May 2008. The deal was approximately S$13.9 million.
- Advised Hiap Hoe Limited in its non-underwritten renounceable rights Issue of 75,929,272 new ordinary shares in the capital of Hiap Hoe Limited (the 'Company'), at an issue price of S$0.28 (the 'Issue Price') for each rights share, on the basis of one rights share for every four existing ordinary shares in the capital of the Company held by shareholders as at the books closure date. The net proceeds from the right issue, after deducting estimated expenses of S$0.25 million, is estimated to be approximately S$21.0 million. In connection with the rights issue, the controlling shareholder, Hiap Hoe Holdings Pte Ltd, has unconditionally and irrevocably undertaken to the Company to, inter alia, subscribe and pay for (a) the rights shares to be provisionally allotted to Hiap Hoe Holdings Pte Ltd under the rights issue; and (b) the excess rights shares to the extent that they are not subscribed for by the other shareholders of the Company or their renouncees.
- Advised Zhong Nan Holdings Limited in a term loan facility arranged by CLSA Mezzanine Management Limited for an amount of up to US$80 million.
- Acted for GLL IHT PTE. LTD. in the establishment of a S$800,000 multicurrency medium term notes programme guaranteed by GuocoLand Limited. The arranger is Citicorp Investment Bank (Singapore) Limited. GuocoLand Limited is a property developer listed on the Main Board of the Singapore Exchange.
- Acted for Gallant Venture Ltd. in connection with the grant of banking facilities of up to S$132,000,000 by United Overseas Bank Limited. Gallant Venture Ltd. is a company listed on the Main Board of the Singapore Exchange.
- Acted for HSBC Institutional Trust Services (Singapore) Limited (in its capacity as trustee for Parkway Life Real Estate Investment Trust) in connection with:
- the grant of a multicurrency revolving credit facility of up to S$65,000,000 by Commonwealth Bank of Australia, Singapore Branch; and
- the grant of a term loan facility of up to S$35,600,000 by Sumitomo Mitsui Banking Corporation, Singapore Branch.
- Acted for Sumitomo Mitsui Banking Corporation, Singapore Branch. in connection with:
- the grant of a revolving credit facility of up to US$70,000,000 to PT Indofood Sukses Makmur; and
- the grant of a revolving credit facility of up to US$30,000,000 to PT Salim Ivomas Pratama.
- Acted for ING Bank N.V., Singapore Branch in connection with the grant of a term loan facility of up to US$50,000,000 to PT Indofood Sukses Makmur.
- Acted for DBS Bank Ltd. in connection with the grant of a term loan facility of up to US$30,000,000 to PT Indofood Sukses Makmur.
- Advised GuocoLand Limited in the following transactions:
- issue of S$690 million in principal amount of Convertible Bonds (subject to an increase of S$100 million (US$70.45 million) in principal amount of Convertible Bonds pursuant to an up-size option); and
- renounceable rights issue of ordinary shares at an aggregate issue price of approximately S$555 million,
to finance, inter alia, the conditional acquisition of a 90% interest in the Beijing Dongzhimen site by GuocoLand (China) Limited, a wholly owned subsidiary of GuocoLand Limited, for a consideration of US$751.686 million.
- Advised CLSA and Merrill Lynch, joint global coordinators and joint bookrunners for the 144A global offering by Cambridge Industrial Trust of 276,973 new units raising S$193.88 million. Cambridge Industrial Trust is a Singapore based real estate investment trust listed on the SGX-ST. It is established with the objective of investing directly or indirectly in income-producing real estate and real estate-related assets used mainly for industrial (including warehousing) purposes.
- Advised Li Heng Chemical Fibre Technologies in its initial public offer and listing on the Mainboard of the SGX-ST. The initial public offer was launched on 29 January 2008 raising S$320 million in gross proceeds. Li Heng is a nylon-6 manufacturer based in Fujian Province in the PRC.
- Advised CentraLand Limited in its initial public offer and listing on the Mainboard of the SGX-ST. The initial public offer was launched on 22 January 2008 raising S$122.5 million in gross proceeds. CentraLand is a premium brand property developer based in Zhengzhou city in the PRC.
- Advised Forever Prosperous Pte. Ltd. (“FP”) in connection with banking facilities of an aggregate amount of approximately US$116 million granted by DBS Bank Ltd. to FP as standby buyer to acquire shares in PT Royal Oak Development Asia Tbk (formerly known as PT Roda Panggon Harapan Tbk) ("RODA"), a company listed on the Indonesia Stock Exchange, in connection with the rights issue undertaken by RODA to finance the purchase of several properties in Indonesia and shares in a securities company.
- Advised FibreChem Technologies Limited in its S$113.9 million rights issue of non-redeemable convertible non-cumulative preference shares, raising S$113.9 million. Fibrechem is listed on the Mainboard of SGX-ST and is a chemical fibre manufacturer based in Fujian Province, PRC.
- Advised Changtian Plastic & Chemical Limited in its initial public offer and listing on the Mainboard of the SGX-ST. Changtian is a manufacturer of adhesive tapes, release papers and BOPA films, with operations based in the PRC. The initial public offer was launched on 30 October 2007 raising S$101 million in gross proceeds.
- Advised China Sports International Limited in its initial public offer and listing on the Mainboard of the SGX-ST. The initial public offer was launched on 9 July 2007 raising S$80 million in gross proceeds. China Sports International Limitedis in the sports fashion footwear and apparel industry with operations based in the PRC.
- Advised Fung Choi Media Group Limited in its issue of convertible bonds and exchangeable bonds due 2012 to Indopark Holdings Limited (an affiliate of Merrill Lynch), raising RMB380 million. Fung Choi Media Group is listed on the Mainboard of SGX-ST. Its business is in print media and printing and packaging with operations based in the PRC.
- Advised Hwa Hong Corporation Limited in connection with the subscription by its subsidiary of S$42 million in principal amount of secured fixed rate senior notes due 2010, which were issued by Sardinia Properties Pte Ltd to partially finance the development of the property at 37 Scotts Road, Singapore 228229. Hwa Hong is listed on the Mainboard of the SGX-ST. The principal activity of Hwa Hong is that of an investment holding company. Its subsidiaries are primarily engaged in property rental, investment and development, packing of edible oils, general insurance, manufacturers of chemicals, trading of consumer products and that of business development consultants and advisors.
- Advised DBS Bank, the issue manager and underwriter for the initial public offer and listing on the Mainboard of the SGX-ST of Uni-Asia Finance Corporation. Uni-Asia is an Asia-based structured finance arrangement and alternative assets direct investment firm in the area of ships, distressed assets and real estate. The initial public offer was launched on 8 August 2007 raising S$41.4 million in gross proceeds.
- Advised STX Pan Ocean, listed on the Mainboard of the SGX-ST, on Singapore regulatory issues in connection with its dual listing on the Korean Stock Exchange and public offering in Korea which raised KRW590,125,825,200 in September 2007.
- Advised Japan Land Limited in its renounceable and partially underwritten rights issue of up to 221,020,750 new ordinary shares ('Rights Shares') with up to 110,510,375 free detachable warrants. The rights issue is valued at between S$18.8 million and (assuming all the warrants issued pursuant to the rights issue are exercised) S$19.4 million. Japan Land Limited is listed on the Mainboard of the SGX-ST. It is an investment holding company with a core focus on the real estate market in Japan.
- Advised Yongmao Holdings Limited ('Yongmao') in its initial public offer and listing on the Mainboard of the SGX-ST. The initial public offer was launched on 31 January 2008 raising S$39 million in gross proceeds. Advised Yongmao on its pre-IPO restructuring involving the acquisition by Yongmao of a 70% equity interest in FSYM Construction, a PRC company which designs, manufactures and sells towercranes and towercrane components and accessories for a consideration of S$18.7 million, and on a related convertible loan to Yongmao to fund such acquisition.
