One of the rare few dedicated regulatory & derivatives specialist practices in Singapore, our Regulatory & Derivatives team advises major local and foreign financial institutions of all kinds on the full spectrum of financial services laws and regulations in Singapore.
We help clients to establish their businesses in Singapore, advising on licencing and other regulatory and compliance matters, structuring businesses and products and designing and customising product and services documentation and compliance manuals. We also liaise with regulatory authorities on behalf of financial institutions and industry associations on various matters including industry feedback and new legal and regulatory changes.
Our clients include banks and investment banks and private banks; securities, futures, commodities and derivatives traders, dealers and exchanges; clearing institutions and their respective participants; insurers, payment system providers, investment managers and advisers and other financial industry associations.
Fund Management
Our Fund Management team advises clients on fund management and investment advisory services.
We regularly assist clients in establishing their businesses in Singapore and assist in applications and filings to the Monetary Authority of Singapore for a manager to commence fund management activity in Singapore. We advise on all aspects of our securities laws to which a fund manager is subject including ongoing compliance and business conduct requirements.
We also advise on the establishment of onshore and offshore investment funds, including assistance in the structuring of funds, development of fund terms, and negotiations with investors.
Downstream work includes fund restructurings as well as transactional and regulatory work as funds commence investment activities.
We also advise institutional investors investing into funds, particularly private equity funds.
Our clients range from global institutional fund managers, to smaller start-up managers. They manage funds that invest in various asset classes including private equity and hedge funds, as well venture capital and real estate funds.
Other clients include market participants in related industries such as private client and wealth management units of banks and other financial institutions, investment fund distributors, trustees, custodians and fund administrators.
